1 Acceptance of Terms

By accessing our website, purchasing source code, or using any product or service offered by A R Pro Digital ("we", "our", "us"), you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our services.

2 About Us

A R Pro Digital is an MSME Registered digital solutions provider (UDYAM-UP-65-0004096) offering White Label software products and digital services. We currently operate as an MSME unit and are not registered under GST.

3 Products & Services

We offer the following digital products and services:

• ✓WhatsApp API — Basic: Source code with optional installation.
• ✓WhatsApp API — Premium: Full automation edition with source code and optional installation.
• ✓Sales & Service CRM: Complete CRM source code with optional installation.
• ✓Complete Suite Bundle: Both products at a combined price.
• ✓Annual Maintenance Contract (AMC): Optional add-on for priority support and updates.

4 Source Code License

• ✓Source code is licensed for one project / one domain per license.
• ✓The license is non-transferable and non-exclusive.
• ✓You may modify the code for your own use but may not resell it as source code to others.
• ✓You may deploy it as a white label service to your own clients.
• ✓Rebranding, repackaging and reselling of the software as your own product is allowed only with a valid license.

5 Pricing & Payment

• ✓All prices are listed in Indian Rupees (₹).
• ✓Payments are processed securely via Razorpay.
• ✓Source Code and Installation charges are separate and billed independently.
• ✓We reserve the right to change prices at any time without prior notice. Existing paid orders are not affected.

6 Delivery of Products

• ✓Source code is delivered digitally via email or secure download link within 24–72 working hours of successful payment.
• ✓Installation is performed on your domain and hosting after mutual scheduling.
• ✓You must provide valid domain, hosting and necessary credentials for installation.

7 Customer Responsibilities

• ✓Provide accurate information during enquiry and purchase.
• ✓Maintain confidentiality of your server and admin credentials.
• ✓Use the software in compliance with all applicable laws.
• ✓Obtain necessary WhatsApp Business API access from Meta or approved providers.

8 Prohibited Use

You agree NOT to use our products or services for:

• ✕Sending spam, unsolicited bulk messages or illegal content.
• ✕Any activity that violates WhatsApp, Meta or other platform policies.
• ✕Fraud, phishing, or misrepresentation of any kind.
• ✕Any unlawful purpose under Indian or international law.

9 Intellectual Property

All content on our website — including logos, designs, text, graphics and source code structure — is the intellectual property of A R Pro Digital. Unauthorized use, reproduction or distribution is strictly prohibited.

10 Limitation of Liability

Our products and services are provided "as is". We do not guarantee uninterrupted or error-free operation. In no event shall A R Pro Digital be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our products.

Our total liability for any claim shall not exceed the amount paid by you for the specific product or service.

11 Third-Party Services

Our products may integrate with third-party services such as WhatsApp Business API (Meta), Razorpay, and hosting providers. We are not responsible for the availability, policies or performance of these third-party services.

12 Termination

We reserve the right to suspend or terminate access to our products and services if these Terms are violated. Termination does not entitle you to any refund.

13 Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Chandausi, Uttar Pradesh.

14 Changes to Terms

We may update these Terms & Conditions from time to time. Continued use of our services after changes are posted means you accept the revised terms.
